1. Purpose
This Agreement governs the participation of a professional or entity (the "partner") in the Aymar Agents partner programme, under the referral or white-label reseller mode ("Partner Network OS"), as a supplement to the Partner Programme Terms and Conditions.
2. Onboarding and verification
Becoming a partner requires providing accurate information about your identity, professional activity and, where applicable, the entity you represent, and passing Aymar's verification process before the account is activated. Aymar may reject or deactivate an application that does not pass that verification.
3. Partner obligations towards its clients
The partner must inform its own clients that they are interacting with an artificial intelligence system, as required by article 50 of Regulation (EU) 2024/1689 (the AI Act), on every channel and in every language it operates, and keep active the notices the platform makes available for that purpose. The partner is responsible for having its own contracts with its clients, for the lawful basis and information it must provide under GDPR, and for training its staff in the correct use of the platform and in its transparency obligations.
4. Brand licence and white label
For the duration of this Agreement, Aymar grants the partner a limited, non-exclusive, non-transferable licence to operate the platform under the partner's own brand (white-label mode) towards its clients. In that mode, Aymar acts as the partner's subprocessor — the partner in turn answers to its own clients as controller or processor, as they agree between themselves — forming a three-level processing chain: the partner's end client, the partner, and Aymar. The partner may not sublicense the platform or present it as its own technology.
5. Commissions and settlement
Commissions, the collection model (referral or Merchant of Record under white label) and the economic terms are governed by the economic conditions of your partner contract. Referrals are settled from the referred client's first paid invoice and are subject to a 30-day clawback window. Amounts are expressed and settled in the currency agreed in the contract.
6. Referrals
A valid referral is a client who signs up through the partner's link or code and completes the platform's verification process. Aymar may reject fraudulent or duplicate referrals, or referrals that breach acceptable use, without triggering any commission.
7. Confidentiality
Both parties will keep confidential any non-public information they learn in connection with this Agreement (economic terms, client data, technical information), and will use it only to perform the partner relationship.
8. Personal data
Each party complies with GDPR according to its role. Aymar is the controller for the partner's account and team data, and acts as processor (or subprocessor, under white label) for the personal data of the partner's end clients, under the Data Processing Agreement (DPA) available at legal/dpa.
9. Term, termination and effects
This Agreement remains in force while the partner account stays active. Either party may terminate it as agreed in the commercial order or the partner contract. On termination, the partner is no longer authorised to operate the platform under its brand; data and pending commissions are settled according to the contract's economic conditions and the retention and deletion policy described in our privacy policy and the DPA.
10. Changes
We publish the current version of this Agreement together with its effective date. When it changes materially, the partner console shows a notice at sign-in with a summary of the changes and an "Accept and continue" button; you can sign out without accepting. When an administrator of your organisation accepts, they do so on its behalf.
11. Governing law and jurisdiction
This Agreement is governed by Spanish law and, for relationships between professionals, the parties submit to the courts of Málaga, without prejudice to any mandatory rules that may apply.
